In short
- Paying an invoice or at checkout, or confirming an order in writing, means you accept this offer.
- It covers everything we sell: custom projects, subscriptions to our products, licences, support plans and more. What exactly you buy, its price and its period are on the invoice, the order or the checkout page.
- Pay by bank transfer, or by card through Payme, Click, Uzum Bank and the other providers on the payment page. We never see your card number.
- Projects: you have 5 business days to accept the work or tell us what does not match the order. Cancel before we start and you get everything back; after that, you pay only for the work done.
- Subscriptions renew when you pay the next invoice, or automatically if you turned that on, and then we remind you first. Cancel any time; access runs to the end of the paid period. A yearly plan is refunded in full within 14 days.
- We give 30 days' notice of a price change, and it never touches a period you have already paid for. After a subscription ends, you have 30 days to export your data.
- Refunds are paid within 10 business days. Questions: [email protected] or +998 50 800 84 47.
The plain version. The full text below is what applies.
1.General provisions
- 1.1
This document is a public offer by «RELAYT STUDIO» MChJ, trading as Relayt (the "Studio"), to any person to conclude an agreement on the terms below for the services, software and digital products the Studio offers, in accordance with Articles 367 and 369 of the Civil Code of the Republic of Uzbekistan.
- 1.2
A person who accepts this offer in the way set out in section 4 becomes the Client, and an agreement between the Client and the Studio (the "Agreement") is concluded. An accepted offer has the same force as an agreement signed on paper.
- 1.3
If the Studio and the Client sign a separate written contract, that contract applies to everything it covers, and this offer applies to everything else.
- 1.4
Where the Studio publishes separate terms or a plan page for a particular Product ("Product terms"), they apply to that Product together with this offer. If the Product terms and this offer differ on a point, the Product terms prevail for that Product. Anything the Product terms do not cover is governed by this offer.
- 1.5
The offer is published in Uzbek, Russian and English at relayt.studio/offer. If the versions differ, the Uzbek text applies.
2.Terms used
- 2.1
In this offer the following terms have these meanings:
- "Client": a legal entity, individual entrepreneur or individual who has accepted this offer.
- "Order": any purchase the Client makes from the Studio under this offer: a project, a Subscription, a licence, a support plan, a one-off service or product, or an addition to any of them.
- "Order Terms": whatever fixes, at the time of purchase, what an Order includes, its price and its period or deadline: an invoice, an order form, a checkout or plan page, Product terms, a commercial proposal, a specification, an appendix to a contract, or a message confirmed by both parties in the Portal or by email.
- "Invoice": the document or payment link the Studio issues for payment of an Order, including a checkout page.
- "Project work": work the Studio does to order for a particular Client, with its own scope and deadline: development, integration, set-up, configuration, data migration and similar work.
- "Result": what the Studio hands over under Project work: software, a website, a bot, settings, integrations, data, documentation and access to them.
- "Act": the act of work completed or services provided for an Order or one of its stages.
- "Product": software or an online service that belongs to the Studio and that it provides to Clients, such as web and mobile applications, SaaS products, widgets, bots and integrations sold ready-made, whether used online or installed under a licence.
- "Subscription": paid access to a Product, or to a support and maintenance plan, for a Billing period.
- "Plan": a version of a Subscription with its own features, limits, support level and price, as described on its plan page or in the Order Terms.
- "Billing period": the period a Subscription is paid for: a month, a year or another period stated in the Order Terms.
- "Account": the Client's account in a Product or in the Portal, together with the users the Client adds to it.
- "Client data": information the Client or its users put into a Product or send to the Studio for an Order.
- "Portal": the Client's online workspace at relayt.space, including the payment page pay.relayt.space.
- "Payment provider": a payment system or bank that accepts payments for the Studio, such as Payme, Click or Uzum Bank.
- "Business day": Monday to Friday, except public holidays and days off in the Republic of Uzbekistan.
3.Subject of the offer
- 3.1
The Studio provides services, software and digital products, and the Client pays for them under Orders. They include, but are not limited to:
- software development to order: web, mobile and desktop applications, Telegram bots and Mini Apps, websites and landing pages;
- integration of systems: CRM, payment systems, inventory, accounting, e-invoicing and any other system with an API;
- set-up, configuration and data migration for CRM, ERP and IP telephony, and process automation, including with artificial intelligence;
- subscriptions to the Studio's own Products, including SaaS products, widgets and bots;
- licences to use the Studio's software;
- support and maintenance plans, and hosting and administration of systems;
- consulting, audits and training;
- any other goods, services and digital products the Studio offers now or later.
- 3.2
The list above gives examples and does not limit what the Studio may sell under this offer. What a particular Order includes (the product, the Plan, the scope, the price and the period or deadline) is set by its Order Terms at the time of purchase. Anything not in the Order Terms is outside the Order and is agreed separately (see 6.7).
- 3.3
Section 6 applies to Project work; section 7 applies to Products, Subscriptions, licences and support plans; every other section applies to all Orders. An Order that combines the two, such as setting up a Product and then a monthly fee for it, follows section 6 for the set-up and section 7 for the Subscription.
- 3.4
Third-party services a Result or a Product needs (hosting, domains, licences for CRM and other platforms, SMS, telephony, Payment provider fees) are paid by the Client directly, or reimbursed to the Studio where the Order Terms say so. They are not included in the price unless the Order Terms say they are.
4.Acceptance of the offer
- 4.1
The Client accepts this offer by doing any of the following:
- paying an Invoice in full or in part, by bank transfer, on the Studio's payment page or on a Product's checkout page;
- confirming the Order Terms in the Portal, by email or in another written form;
- starting a free trial of a Product or registering an Account in it, where the Product shows a link to this offer at that step.
- 4.2
The Agreement is concluded at the moment of acceptance. Every later Order the Client pays for or confirms is carried out under the same Agreement.
- 4.3
By accepting the offer the Client confirms that they have read it, the Privacy policy and any Product terms that apply, and, if they act for a company, that they are authorised to do so.
- 4.4
On request, the Studio signs a contract on the same terms on paper or electronically, and issues Acts and other closing documents through electronic document systems.
5.Price and payment
- 5.1
The price of every Order is set in its Order Terms at the time of purchase. For Project work, the Studio agrees the price, scope and deadline with the Client individually, before work starts. For Products and Subscriptions, the price is the one shown on the plan page, the checkout page or the Invoice when the Client pays. Figures elsewhere on the Studio's website are for guidance and are not an offer.
- 5.2
- 5.3
Prices are in Uzbek soum (UZS) and include all taxes the Studio has to pay. If the Studio is a VAT payer on the date of the Invoice, the VAT amount is shown in the Invoice.
- 5.4
Unless the Order Terms set another schedule:
- Project work is paid 50% in advance, before work starts, and 50% after the Result is accepted;
- Subscriptions, licences and support plans are paid in advance for each Billing period;
- charges by usage are paid as set out in 7.16;
- one-off services and products are paid in advance.
- 5.5
The Client can pay:
- by bank transfer to the Studio's account (details in section 17);
- with a bank card or e-wallet through the Payment providers shown on the payment page;
- by an automatic charge to a saved card, where the Client has turned on automatic renewal (see 7.5);
- in another way agreed in writing.
- 5.6
The payment page shows the Payment providers connected on the day of payment. A Payment provider may charge its own fee for the transaction; the payer bears it unless the Invoice says otherwise. The Studio adds no surcharge of its own.
- 5.7
A payment counts as made: for a bank transfer, when the money reaches the Studio's account; for a payment through a Payment provider, when the provider confirms that the payment succeeded and the payment page shows the Invoice as paid.
- 5.8
Card details are entered only on the Payment provider's page. The Studio never receives or stores full card numbers, expiry dates or security codes. If the Client saves a card for automatic renewal, the Payment provider keeps the card, and the Studio holds only a token that lets it request the charges the Client has agreed to.
- 5.9
If a payment for Project work is late, the Studio may pause that work until the money arrives, and deadlines move by the length of the delay. A late payment for a Subscription is handled as set out in 7.14.
- 5.10
After each Order or stage of Project work, and on request for each paid Billing period, the Studio issues an Act and, where tax law requires it, an electronic invoice (ESF).
6.Project work: delivery and acceptance
- 6.1
This section applies to Project work. Deadlines are set in the Order Terms. They run from the later of two dates: the day the advance is paid and the day the Client has provided what the work needs (see 6.2).
- 6.2
The Client provides information, materials, access and feedback on time. A delay on the Client's side moves deadlines by the same length.
- 6.3
When an Order or stage is done, the Studio hands over the Result (as a link, access, files, source code or a deployment, as the Order Terms say) and sends the Act through the Portal, by email or through an electronic document system.
- 6.4
Within 5 (five) business days of receiving the Act, the Client either signs it or sends a written list of the ways the Result does not match the Order Terms.
- 6.5
If within that time the Studio receives neither a signed Act nor a written objection, the Result is accepted and the Act is considered signed. Putting the Result into live use also counts as acceptance.
- 6.6
The Studio fixes, free of charge, every point where the Result does not match the Order Terms, within a period agreed with the Client, and hands it over again. The fixed points are then accepted as in 6.4.
- 6.7
A new wish that goes beyond the Order Terms is not a defect. The Studio prices and schedules it as a separate Order or as an addition to the current one, and does it once the Client agrees.
- 6.8
For 30 (thirty) calendar days after acceptance, the Studio fixes free of charge any error in the Result caused by its own work. This does not cover errors caused by changes made by the Client or third parties, or by the failure of third-party services.
7.Subscriptions and software products
- 7.1
This section applies to Products, Subscriptions, licences and support plans. The Plan, its features and limits, its price and its Billing period are as described on the plan page, the checkout page or in the Order Terms at the time of purchase.
- 7.2
A Billing period is a month, a year or another length stated in the Order Terms. It runs from the day access starts to the same date in the next month or year, or to the end of the stated period.
- 7.3
Access starts when the first payment counts as made (see 5.7), or on a later date set in the Order Terms. Where the Studio has to set a Product up first, access starts when the set-up is done, within the time stated in the Order Terms, and the paid period starts on that day.
- 7.4
A Subscription renews only when the next Billing period is paid. Before the current period ends, the Studio sends an Invoice for the next one to the Account, the Portal or the Client's email. If it is paid, the Subscription continues without a break; if it is not, the Subscription ends when the paid period ends (see 7.14).
- 7.5
Automatic renewal applies only where the Client has turned it on for a Subscription and saved a payment method that supports recurring payments. The Studio then charges the price of the next Billing period on the day it starts. It sends a reminder with the amount and the date at least 3 (three) days before the charge for monthly and shorter periods, and at least 7 (seven) days before for yearly and longer periods. The Client can turn automatic renewal off at any time before the charge, in the Account or by writing to the Studio. If a charge fails, the Studio tells the Client and the period counts as unpaid (see 7.14).
- 7.6
The Client may change Plan at any time. A move to a higher Plan takes effect at once, and the Client pays the difference for the days left in the current Billing period. A move to a lower Plan takes effect from the next Billing period; if the lower Plan has smaller limits, the Client brings its use within them by that date.
- 7.7
The Client can cancel a Subscription at any time, in the Account, in the Portal or by writing to the Studio. Access continues to the end of the paid Billing period, nothing more is charged, and the Subscription is not renewed. Refunds, where due, follow section 8.
- 7.8
The Studio may change the price of a Plan. It tells the Clients on that Plan at least 30 (thirty) days before the new price applies to them, by email, in the Portal or in the Product. The new price applies from the first Billing period that starts after the notice period. A period already paid for is never repriced. A Client who does not accept the new price may cancel before it applies (see 7.7).
- 7.9
If a Product offers a free trial, its length and limits are shown when it starts. Nothing is charged during the trial. When the trial ends, access stops unless the Client chooses a Plan and pays for it; the Studio never turns a trial into a paid Subscription without the Client's express consent. Data entered during the trial is kept as set out in 7.15.
- 7.10
The Client gives accurate details when registering an Account, keeps passwords and access codes safe, and is responsible for what happens in its Account, including the actions of the users it adds. It tells the Studio at once if it suspects that someone has got into the Account without permission. The number of users and other limits are those of the Plan.
- 7.11
The Client and its users must not use a Product:
- in breach of the law or of the rights of others;
- to send spam, or to store or spread unlawful content;
- to try to reach other Clients' data or to get round the Product's security or limits;
- in a way that overloads the Product or disrupts it for others;
- to copy or resell it, or to give third parties access beyond what the Plan allows, without the Studio's written consent;
- to decompile or reverse-engineer it, except where the law allows this.
- 7.12
The Studio runs its Products with professional care and works to keep them available, but this offer does not promise any particular uptime. Where a Plan states an availability level, support hours or response times, the Studio meets them, and any remedy the Plan gives for missing them applies. Support under a support and maintenance plan is provided for the paid period, within the scope and response times set in the Order Terms. The Studio announces planned maintenance in advance where it can.
- 7.13
The Studio may improve and change its Products. If a change significantly reduces what a paid Plan includes during a Billing period the Client has already paid for, the Client may cancel and receive a refund for the unused part of that period (see 8.9).
- 7.14
If a Subscription's Invoice is not paid by its due date, or an automatic charge fails, the Studio tells the Client and gives at least 7 (seven) days to pay before it suspends access. During a suspension the Client data is kept, and access comes back within 1 (one) business day of payment. If the Invoice is still unpaid 30 (thirty) days into the suspension, the Subscription ends and 7.15 applies. The Studio may also suspend access at once, telling the Client, where that is needed to stop a breach of 7.11 or a threat to the security of the Product or of other Clients.
- 7.15
When a Subscription ends for any reason, the Client can export its Client data for 30 (thirty) days, with the export the Product provides or, on request, in a common machine-readable format such as CSV or JSON. After that the Studio may delete the Client data, except what the law requires it to keep. Deleted data leaves the backups as they are overwritten in their normal cycle. At the Client's written request, the Studio deletes the data sooner.
- 7.16
Where a Plan includes charges by usage (for example for users, messages, minutes, requests or storage above the Plan's limits) or one-off charges (for example for set-up, training, data migration or add-ons), their rates are shown on the plan page or in the Order Terms before they apply. Usage charges are either invoiced after the Billing period in which they arose or taken from a prepaid balance, as the Plan states. The Studio charges nothing that was not stated in advance.
8.Refunds and cancellation
- 8.1
The Client can cancel an Order at any time by writing to [email protected] or in the Portal, and a Subscription also in the Account itself.
- 8.2
If the Client cancels Project work before it has started, the Studio refunds the full amount paid, less any fee the Payment provider or bank has kept and does not return. Work has started once the Studio has begun analysis, design, development or set-up for the Order, or has paid for third-party services for it, and has told the Client so.
- 8.3
If the Client cancels Project work after it has started, the Client pays for the work done up to the day of cancellation and for third-party costs already incurred for the Order that cannot be returned, and the Studio refunds the rest of the amount paid. Work done is counted by the stages in the Order Terms or, where there are none, by the hours actually spent at the rate in the Order Terms. The Studio sends the calculation in writing.
- 8.4
Stages of Project work the Client has already accepted are not refunded.
- 8.5
Monthly and shorter Billing periods: the period already under way is not refunded; the Subscription simply runs to its end. Whole periods paid in advance that have not yet started are refunded in full.
- 8.6
Yearly and longer Billing periods: if the Client cancels within 14 (fourteen) calendar days of paying for the period, whether a first purchase or a renewal, the Studio refunds the full amount paid for it. After that, the Studio refunds the unused whole months of the period in proportion to the price paid; the part already used and the month under way are not refunded.
- 8.7
If an automatic renewal was charged and the Client had meant to cancel, the Client may ask for that charge back within 7 (seven) days of it, provided the Product has not been used since. The Studio then refunds it in full and ends the Subscription.
- 8.8
Charges for usage that has already taken place are not refunded. One-off services, such as set-up or data migration, are refunded like Project work, under 8.2 and 8.3. A licence paid for once is refunded in full if the Client cancels before receiving it, and afterwards only if it does not work as described and the Studio cannot fix it within a reasonable time.
- 8.9
If the Studio cannot complete an Order for reasons on its own side, or cancels it itself, it refunds in full everything paid for work not delivered. If the Studio ends a Subscription when the Client is not at fault, or the Client cancels under 7.13, the Studio refunds the unused part of the paid Billing period in proportion to the time left.
- 8.10
To request a refund, write to [email protected] from the address or account the Order was placed from, and give the Invoice number. The Studio replies within 3 (three) business days with the amount, and pays the refund within 10 (ten) business days of the amount being agreed, the same way the payment came in: a card payment goes back through the same Payment provider, a bank transfer goes back to the account it came from.
- 8.11
When the money appears in the Client's account depends on the bank or Payment provider, and can take a few more days.
- 8.12
If the Client is a consumer, nothing in this section limits their rights under the Law of the Republic of Uzbekistan "On Protection of Consumer Rights".
9.Rights and obligations
- 9.1
The Studio shall:
- provide its services and Products in line with the Order Terms and with professional care;
- keep the Client informed of the progress of Project work, and warn them promptly about risks and delays;
- hand over the Result, source code and access once the Project work is paid in full, unless the Order Terms say otherwise;
- give notice of price changes and other changes that affect the Client, as set out in this offer;
- keep the Client's information confidential (see section 11).
- 9.2
- 9.3
The Client shall:
- pay on time;
- provide the information, materials and access the work needs;
- make sure it has the right to use the materials and data it gives the Studio or puts into a Product (texts, images, logos, customer data);
- review the Result and the Act within the time set in 6.4;
- use Products in line with 7.11, and keep its passwords and access codes safe.
- 9.4
10.Intellectual property
- 10.1
The exclusive rights to a Result made specially for the Client under Project work pass to the Client once that Order is paid in full, unless the Order Terms say otherwise. Until then the Client may use the Result for review and testing.
- 10.2
The Studio keeps its rights to what it had before the Order or makes for general use: libraries, templates, tools, methods, know-how and code that is not specific to the Client. Where these are part of the Result, the Client receives a free, non-exclusive right, unlimited in time, to use them as part of that Result. The Studio may use them in other work.
- 10.3
Open-source and third-party components in the Result are used under their own licences.
- 10.4
All rights to the Studio's Products, including their code, design, documentation and later versions, stay with the Studio, also where the Studio has adapted or set up a Product for the Client. A Subscription or licence gives the Client a non-exclusive, non-transferable right to use the Product for the paid period, within the limits of its Plan and for its own business.
- 10.5
Client data belongs to the Client. The Studio uses it only to provide the Product and perform the Order, and does not sell it or use it for anything else. To run and improve its Products, the Studio may use anonymous, aggregated statistics about how they are used, from which neither the Client nor any person can be identified.
- 10.6
The Studio names the Client or shows its work in the Studio's portfolio only with the Client's consent, which the Client can withdraw at any time. Without consent, the Studio may describe the kind of work only in general terms that do not identify the Client.
11.Confidentiality
- 11.1
Each party keeps confidential the non-public information it receives from the other: business data, access details, source code, personal data and the terms of Orders. It uses that information only to perform the Agreement and shares it only with employees and contractors who need it and are bound by the same duty.
- 11.2
This does not apply to information that is public, that the party already had or developed independently, or that must be disclosed by law or at the request of a competent state body.
- 11.3
The duty lasts for the term of the Agreement and 3 (three) years after it ends; for access details and personal data it lasts without a time limit.
- 11.4
When the Agreement ends, the Studio returns or deletes the Client's access details and data at the Client's request, except what the law requires it to keep. For Products, 7.15 applies.
12.Liability
- 12.1
The parties are liable for failing to perform the Agreement under the laws of the Republic of Uzbekistan.
- 12.2
The Studio's total liability under an Order is limited to the amount the Client actually paid for that Order; for Subscriptions, licences and support plans, to the amount paid for them for the last 3 (three) months.
- 12.3
The Studio is not liable for lost profit or other indirect losses, for failures of third-party services (hosting, platforms, Payment providers, messengers, communication networks), or for the consequences of changes the Client or third parties make to a Result or a Product, or of the Client's breach of 7.11.
- 12.4
These limits do not apply where the law does not allow liability to be limited, including for intentional breach.
13.Force majeure
- 13.1
Neither party is liable for failing to perform the Agreement because of circumstances beyond its reasonable control: natural disasters, epidemics, military action, decisions of state bodies, or large-scale failures of power, communication networks or data centres.
- 13.2
The affected party tells the other within 5 (five) business days. Deadlines move for as long as the circumstances last.
- 13.3
If the circumstances last more than 30 (thirty) days, either party may cancel the affected Order: work done is settled as in 8.3, and the unused part of a paid Billing period is refunded in proportion to the time left.
14.Personal data
- 14.1
The Studio processes personal data in accordance with the Law of the Republic of Uzbekistan "On Personal Data" and its Privacy policy. By accepting the offer, the Client consents to the processing of the personal data needed to perform the Agreement.
- 14.2
Where the Client gives the Studio access to personal data of its own customers or employees, or puts such data into a Product (for example contacts in a CRM), the Client remains the owner and operator of that data and is responsible for having a lawful basis to process it. The Studio processes such data only on the Client's instructions and only to perform the Order and provide the Product.
15.Disputes and governing law
- 15.1
The Agreement is governed by the law of the Republic of Uzbekistan.
- 15.2
The parties first try to settle any dispute by negotiation. A claim is sent in writing, including by email, and is answered within 10 (ten) business days.
- 15.3
If a dispute is not settled within 30 (thirty) days of the claim, it goes to the competent court of the Republic of Uzbekistan under the rules of jurisdiction set by law.
16.Term and changes to the offer
- 16.1
The Agreement is in force from acceptance until both parties have fully performed their obligations, and in any case while any Subscription is active.
- 16.2
The Studio may change this offer by publishing a new version at relayt.studio/offer with its version number and the date it takes effect. Each Order is governed by the version in force on the day it was accepted, unless the parties agree otherwise in writing. For an active Subscription, a new version applies from the first Billing period that starts at least 30 (thirty) days after the Studio has told the Client about it; a Client who does not accept it may cancel before then.
- 16.3
- 16.4
Previous versions of the offer are available on request to [email protected].
